Subscription Agreement

This Subscription Agreement explains how recurring billing, one-time access passes, auto-renewal, cancellation, and refunds work for ShadowText. It supplements our Terms of Service and is incorporated into them by reference.

1. What this Document Covers

This Subscription Agreement applies to all paid plans offered by shadowtext.ai for the ShadowText Service. It describes how recurring subscriptions and one-time access passes are sold, billed, renewed, changed, cancelled, and refunded. Where there is a conflict between this Agreement and the general Terms of Service, this Agreement controls for billing matters.

All prices and plan features shown on the Service are quoted in US dollars unless stated otherwise. Local taxes (such as sales tax, VAT, GST, or similar) may be added at checkout where required by law and will be itemised on your receipt.

2. Plans and Quotas

We currently offer the following paid tiers for new purchase with monthly or yearly billing. Legacy weekly subscriptions may continue renewing while active, but weekly billing is no longer offered for new purchase:

  • Essential — 1,000 words of editorial assistance per calendar month, with daily request limits as published on the Pricing page.
  • Pro — 1,500 words per calendar month, with higher daily request limits and priority processing.
  • Business — 2,000 words per calendar month, with higher per-request limits and priority processing.
  • Enterprise — 10,000 words per calendar month, with the highest per-request and daily limits.

We may, from time to time, change the features, quotas, or names of the tiers. We will give a reasonable notice in-product or by email before any change that materially reduces the value of an existing plan you are on. Quotas are subject to the Fair Use Policy in our Terms of Service (Section 5).

3. Auto-Renewal Disclosure

We will send you a renewal reminder by email before each renewal. Renewal reminders are sent in good faith but do not relieve you of the responsibility to keep track of your subscription and to cancel before renewal if you do not want to be charged.

If we change the renewal price for your plan, we will give you at least 14 days' notice by email and in-product before the new price applies. You may cancel during the notice period if you do not accept the new price.

4. One-Time Access Passes

In some markets or payment flows, we offer access on a one-time-pay basis: you pay once for a fixed period of access (for example, "$X for Y days"). One-time passes do not auto-renew. Access expires at the end of the disclosed period and you must purchase a new pass to continue. Card checkout is available for auto-renewing subscriptions; Alipay and WeChat Pay are available for one-time period payments.

Where you have purchased a one-time pass, we will send you reminder emails before the pass expires so that you can decide whether to renew. Reminders are a courtesy and do not extend the pass.

When recurring billing later becomes available in your market, we will not switch your existing one-time pass to recurring billing without your explicit consent.

5. Free Trials, Promotional Codes, and Introductory Offers

From time to time we may offer a free trial, a promotional discount, or an introductory price. The conditions of any such offer are disclosed at the point of redemption (for example, the duration of the trial, the discounted price, the renewal price after the offer ends, and any caps on use).

Free trials and promotional offers are limited to one per natural person and per household. Operating multiple accounts to claim a trial or promotion more than once is a breach of our Terms of Service. One-time promotional codes can only be redeemed once per account; we automatically enforce this and may reverse a charge or void a discount that was applied in breach of this rule.

Where a free trial converts to a paid subscription at the end of the trial period, we will tell you the conversion price and date in advance and you can cancel before conversion to avoid being charged.

6. Cooling-Off Period and Refund Window

If you are billed for a paid plan for the first time on a given account, you may request a full refund within 7 days of the first charge by contacting support@shadowtext.ai from the email address on the account. We will process the refund through the original payment method.

Cooling-off does not apply where you have already used a material portion of the monthly word allowance for that period, or where the charge is a renewal of an existing subscription rather than a first charge on the account. We may also withhold a refund where we reasonably believe the request is part of a pattern of abuse (for example, repeated sign-ups followed by refund requests, or use of the Service to misrepresent authorship in breach of our Terms).

Consumers in the European Union, the United Kingdom, and other jurisdictions with mandatory consumer-protection laws have additional non-waivable rights. The cooling-off provisions above do not limit those rights.

7. Partial Periods, Plan Changes, and No Pro-Rata Refunds

If you upgrade your plan mid-period, the upgrade takes effect immediately. We charge the difference between the old and new plan, pro-rated for the remainder of the current period.

If you downgrade your plan or cancel, the change takes effect at the end of the current paid period. You retain access at the level you paid for until that period ends. We do not provide pro-rated refunds for unused time on a paid period that you have already started, except where our Refund Policy says otherwise or where required by law.

8. How to Cancel

You may cancel your subscription at any time using either of the following methods:

  • From the in-product Settings page, under Billing — click "Cancel subscription". The change takes effect at the end of the current billing period.
  • By emailing support@shadowtext.ai from the email address on your account. Tell us you want to cancel; we will confirm in writing.

Cancellation through your card issuer or your Alipay account will stop future charges, but if you contact us at the same time we can also stop the renewal at our end and confirm the change in writing — that avoids confusion if your bank also returns a previous charge.

9. Failed Payments and Reactivation

If a renewal payment fails (for example, your card has expired or there are insufficient funds), we will notify you by email and our payment partner will retry the payment a small number of times over the following days. If the payment cannot be collected we will downgrade your account to the free tier and you will lose access to paid features until you reactivate.

You can update your payment method at any time from the Settings page. Restoring a lapsed subscription does not restore the unused word allowance for the period you missed.

10. Chargebacks and Disputes

If you have a billing concern, please contact us at support@shadowtext.ai before opening a chargeback or dispute with your bank or with Alipay. In most cases we can resolve issues directly and faster than the dispute process.

Initiating a chargeback or dispute without first giving us a reasonable opportunity to resolve the issue is a breach of our Terms of Service. Where we observe a pattern of chargeback abuse, we may refuse to provide the Service to you in the future, even on a new account, and we may, in extreme cases, refer the matter to our payment partners and to the relevant authorities.

11. Taxes

Prices are exclusive of any taxes that may apply. Where we are required to collect tax, the amount will be added at checkout and itemised on your receipt. You are responsible for any taxes that apply to your purchase that we are not required to collect.

If you are eligible for an exemption (for example, you have a valid VAT registration number) and you provide that information at checkout, we will reflect it on the invoice. Exemptions provided after a charge has been processed are applied prospectively only.

12. Currency, Regional Availability, and Receipts

All prices are quoted in US dollars unless the checkout page shows a different currency for your region. Where you pay in a non-USD currency through your bank or through Alipay, your bank or Alipay applies its own foreign-exchange rate and may charge a small conversion fee — that conversion is between you and your payment provider, and we do not control or receive any portion of it.

Some plans, payment methods, or promotional offers may be limited to specific countries or regions because of payment-processing rules, sanctions and export-control laws, or our payment partners' own restrictions. Where a plan or payment method is not available in your region, the checkout page will not show it. We do not guarantee that any specific plan or payment method will be available indefinitely; we will give a reasonable notice before withdrawing a payment method that you currently use.

Receipts and invoices are emailed automatically when each charge succeeds, and they remain available in the in-product Settings page under Billing. Where you need a tax invoice in a specific local format, contact support@shadowtext.ai with your account email and the date of the charge.

13. Changes to this Agreement

We may update this Subscription Agreement from time to time. The current version is always available at https://shadowtext.ai/subscription-terms. Where a change materially affects your existing subscription we will give you a reasonable notice by email and in-product. Continued use of a paid plan after the effective date of an update means you accept the updated Agreement.
